Partner Terms of Use for Flevario

These Partner Terms of Use ("Terms") constitute a legally binding agreement between your business entity ("Partner", "Merchant", or "you") and TIIN S.R.L. ("Flevario", "we", "us"), regarding your use of the Flevario Merchant App and participation in the Flevario ecosystem.
By signing a Service Agreement with Flevario or logging into the Merchant App, you agree to these Terms.
1. The Partnership
Flevario acts as a marketing and loyalty platform provider. We connect our subscriber base ("Clients") with your venue ("Store").
2. Merchant Account & Staff
- Business Representation: You represent that you have the authority to bind the business entity (café/company) to these Terms.
- Staff Access: You are responsible for managing access for your employees ("Baristas"). Any action taken by a staff member using the Merchant App (e.g., scanning a code, confirming a transaction) is deemed an action by the Partner.
- Device Security: You must ensure that devices running the Merchant App are kept secure. You must notify us immediately of any lost devices or suspected unauthorized access to your merchant dashboard.
3. Redemption & Operations
Validation: Partner staff must physically scan the Client's QR code using the Merchant App before processing the sale. Visual inspection of the phone screen alone is not sufficient for tracking or payout purposes.
Connectivity: The Merchant App requires an active internet connection to validate tokens (`jti`) and prevent fraud. You are responsible for ensuring your venue has adequate Wi-Fi or mobile data.
Availability: You agree to keep your store hours and product availability updated within the Flevario system. Repeated unavailability of advertised discounted items may result in temporary suspension from the platform.
4. Fees & Payouts
The commercial terms (commissions, subscription revenue shares, or marketing fees) are governed by your separate Service Agreement signed with TIIN S.R.L.
- Transaction Records: Payouts or invoices are calculated based solely on the digital logs recorded by the Flevario servers upon successful QR scans.
- Disputes: If you believe a transaction record is incorrect, you must notify partners@flevario.com within 30 days of the statement date.
5. Intellectual Property & Content
By using Flevario, you grant us a non-exclusive, royalty-free license to use your:
- Trade name and Logo;
- Store photos and Menu items;
- Location data;
...solely for the purpose of displaying your venue to Clients within the Flevario App and marketing materials. You represent that you own the rights to all images you upload to the Merchant Dashboard.
6. Anti-Fraud & Conduct
We monitor the system for irregular activity. The following actions are strictly prohibited and may lead to immediate termination:
- Fake Redemptions: Scanning own devices or generating fake QR codes to artificially inflate transaction volume.
- Up-selling limitations: Refusing a valid discount unless the customer buys additional non-discounted items (unless stated in the specific Plan rules).
- Harassment: Abusive behavior towards Flevario support staff or Clients.
7. Limitation of Liability
To the maximum extent permitted by Romanian law for B2B contracts:
- Flevario provides the platform "as is". We do not guarantee uninterrupted uptime.
- We are not liable for lost revenue due to temporary connectivity issues at your venue.
- Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by/to you in the 3 months preceding the claim.
8. Termination
Either party may terminate the partnership with 30 days' written notice, or immediately in the event of a material breach of these Terms (e.g., fraud). Upon termination, your store will be removed from the Client App map.
